Card Agreement

1. General Card Terms

This Pointra Spend Card Agreement (this “Agreement”, along with the General Terms, our fees policy, privacy policy, and any other applicable terms and conditions as shown on our website: https://www.pointra.com collectively form a legally binding agreement between you, the holder of a Pointra Spend Card Account (the “Client”), and us (“Pointra” or “We”), for the use of the Pointra Spend Card Account and Pointra Spend Cards. It also sets out other important information you need to know. Capitalized terms used in this Agreement and not otherwise defined have the same meaning as in the General Terms.

The Client acknowledges and agrees that by checking the “Pointra Spend Card” box during the application procedure for a Pointra Account, it indicates its intent to sign these terms and conditions, and such action shall constitute execution of this Agreement between the Client and Pointra.

2. Definitions

2.1 “Budget Cap” means the spending limit for each Budget Group set up and/or adjusted by the Client from time to time.

2.2 “Budget Group” means virtual departments or business units established by the Client under the Zero-Balance Card function.

2.3 “Cardholder” means individuals who hold the Pointra Spend Cards.

2.4 “General Terms” means the Pointra General Terms and Conditions entered into between the Client and Pointra prior to this Agreement.

2.5 “Prepaid Card” means a virtual card issued to the Client by Pointra and the Service Provider under Section 4.2 of this Agreement.

2.6 “Pointra Spend Cards” collectively refers to the Zero-Balance Cards and Prepaid Cards.

2.7 “Zero-Balance Card” means a virtual card issued to the Client by Pointra and the Service Provider under Section 4.1 of this Agreement.

2.8 “Daily Spending Limit” means the maximum aggregate daily amount available for Transactions on the Pointra Spend Card Account across all Budget Groups and Pointra Spend Cards.

2.9 “Card Limit” means the maximum amounts available for Transactions, which may apply to an individual Pointra Spend Card, across multiple Pointra Spend Cards, to certain Budget Groups, or to the entire Pointra Spend Card Account.

3. Pointra Spend Card Account

3.1 The Pointra Spend Card Account is a virtual account managed by Pointra, separate from the Multi-Currency Account or other accounts of the Client.

3.2 Once the Client accepts this Agreement and activates at least one (1) Pointra Spend Card, it may transfer funds from its Multi-Currency Account or bank accounts to the Pointra Spend Card Account.

3.3 The Pointra Spend Card Account is not a bank account, and the funds within it bear no interest.

4. Types of Pointra Spend Cards

4.1 Zero-Balance Card

The Client may create several Budget Groups and set up, increase, or decrease the Budget Cap of such groups. Once a Budget Cap is set, the balance of the Pointra Spend Card Account will be reduced accordingly. The total Budget Cap of all Budget Groups may not exceed the balance of the Pointra Spend Card Account.

The Client may apply for multiple Zero-Balance Cards for its employees under specific Budget Groups. Once such cards are issued by the Service Provider, the Cardholder may make payments using them. Each Zero-Balance Card shares the total balance (within the limitations of the Budget Cap set by the Client) of the Pointra Spend Card Account. The Zero-Balance Card itself holds no balance.

The number of Budget Groups and Zero-Balance Cards under each Budget Group is subject to limits established by Pointra from time to time.

4.2 Prepaid Card

The Client may apply for multiple Prepaid Cards for its employees. Once issued, the Client may transfer funds from the Pointra Spend Card Account to specific Prepaid Cards. The Cardholder may then make payments up to the balance of that card.

The number of Prepaid Cards is subject to limits established by Pointra from time to time.

5. Administration

The Account Administrator and Sub-Administrators appointed by the Client under the General Terms are entitled to set up Budget Groups, Budget Caps, apply for and cancel Zero-Balance and Prepaid Cards, transfer funds among the Pointra Spend Card Account and Prepaid Cards, and use other functions provided under the Pointra Spend Card Account by Pointra.

6. Cardholder

6.1 The Client shall only apply for Pointra Spend Cards for individuals who are its employees. Cardholders must meet all requirements established by Pointra and the Service Provider, including KYC and AML requirements under the General Terms.

6.2 The Client and Cardholders shall use Pointra Spend Cards solely for the Client’s business purposes. Pointra reserves the right to refuse any personal or non-business use.

6.3 The Client must promptly cancel Pointra Spend Cards belonging to employees whose employment has been terminated.

7. Use of Pointra Spend Card

7.1 Risk & Limits

Pointra may, at its discretion, adjust the number of Budget Groups and Pointra Spend Cards, Daily Spending Limits, and Card Limits for compliance and risk control purposes. Payments exceeding these limits will be rejected.

7.2 Authorized Use

Cardholders may use Pointra Spend Cards only for bona fide business purchases and lawful purposes. They may not use Cards for personal or cash purposes. All Pointra Spend Cards remain the property of the Service Provider and must be returned upon request. Pointra and the Service Provider reserve the right to cancel or suspend cards at any time.

7.3 Fees and Controls

If Pointra determines that a Client’s Pointra Spend Card has excessive declines, reversals, or disputes, additional fees or controls may be applied upon notice via email or the website. Pointra may vary fees with fifteen (15) days’ prior notice.

7.4 Merchant Restrictions

Account Administrators may establish merchant restrictions. Pointra may also restrict transactions by merchant type, transaction amount, or frequency. Holds placed on transactions will temporarily reduce the available Budget Cap.

7.5 Disputed Transactions

The Client must report unauthorized or disputed transactions within 30 days. Pointra will review the claim in a commercially reasonable manner and, if valid, credit the disputed amount back to the Pointra Spend Card Account. The Client assigns to Pointra any rights or claims (excluding tort claims) related to refunded transactions.

7.6 Security

The Client is responsible for securing credentials, Pointra Spend Cards, and account details. The Client is liable for all transactions unless reported as unauthorized in accordance with Pointra’s procedures.

7.7 Default

Pointra may deem the account in default if the Client breaches this Agreement, fails to pay amounts owed, provides false information, or poses a risk. In such cases, Pointra may reduce Budget Caps, suspend services, and demand immediate repayment.

7.8 Suspension or Termination

Pointra may suspend or close any Pointra Spend Card or Card Account without notice. The Client may close its account by notifying Pointra through the Dashboard, provided all outstanding amounts are paid.

8. Fees

8.1 Transfers from the Client’s bank or Multi-Currency Account to the Pointra Spend Card Account incur a one-time charge of 2% of the transferred amount. Each Pointra Spend Card issued is subject to a US$1.00 one-time fee.

8.2 Fee rates may be modified by Pointra at its discretion.

8.3 Fund transfers and card applications will only be processed after receipt of fees.

8.4 Currency conversion fees shall apply per Section 3.5 (“Currency Exchange”) of the General Terms.

9. Service Provider

9.1 Pointra Spend Cards are issued and managed by specific Service Providers. Clients and Cardholders may be required to enter separate agreements with such Service Providers.

9.2 Pointra provides services related to account establishment, fund transfer, and balance management, while the Service Provider handles application, usage, disputes, and cancellations.

10. Miscellaneous

This Agreement supplements the General Terms. Except where explicitly stated, all provisions of the General Terms—including those on Definitions, Contracting Entity, Eligibility, Right to Reject Services, Termination, Intellectual Property, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, Privacy, and Miscellaneous clauses—shall remain in full force and apply to this Agreement as if they are part of it.
